Public Offer Agreement

for ordering, purchase and sale, and delivery of goods from the VSKLO online store. This document sets out the terms for purchasing goods through the website and is the Seller’s public offer to enter into a sales agreement on the terms stated below.

General Provisions

1.1. This Public Offer Agreement is the Seller’s official offer to enter into a distance sales agreement for goods through the VSKLO online store website.

1.2. The Agreement is public and its terms are the same for all Buyers unless otherwise expressly provided by applicable Ukrainian law.

1.3. Placing an order on the website, by phone, messenger, or through other Seller communication channels confirms that the Buyer has read and accepted the terms of this Agreement.

Definitions

2.1. Seller — the business entity that sells goods through the VSKLO online store website.

2.2. Buyer — an individual, sole proprietor, or legal entity placing an order on the website or by another distance method.

2.3. Goods — products offered for sale in the online store.

2.4. Order — a properly submitted request by the Buyer to purchase Goods.

2.5. Individual Order — Goods manufactured, assembled, personalized, or modified for a specific Buyer at the Buyer’s request.

Subject of the Agreement

3.1. The Seller undertakes to transfer the Goods to the Buyer’s ownership, and the Buyer undertakes to accept and pay for them under this Agreement.

3.2. Product names, principal characteristics, current prices, availability, payment methods, and delivery methods are stated on the website pages or clarified by the Seller when the order is confirmed.

Order Placement and Confirmation

4.1. The Buyer places an order through the website cart, by phone, email, or the messengers listed in the Contact section.

4.2. To fulfill the order, the Buyer provides accurate information necessary to identify the order, communicate with the Buyer, and deliver the Goods.

4.3. The Agreement is considered concluded after the Seller confirms the order by message, email, messenger, phone, or another method agreed by the parties.

4.4. The Seller may refuse to fulfill an order if the Goods are unavailable, the Buyer cannot be contacted, inaccurate information is provided, or in other cases that make proper fulfillment impossible.

Price, Payment, and Delivery

5.1. The price of the Goods is stated in Ukrainian hryvnias on the online store website or communicated to the Buyer when the order is confirmed.

5.2. The Seller may change prices before a specific order is confirmed. After confirmation, the price for the Buyer does not change unless otherwise agreed separately by the parties.

5.3. Payment is made using the methods available on the website or agreed with the Buyer during order placement.

5.4. Delivery is carried out within Ukraine and/or to other countries if such possibility is expressly confirmed by the Seller.

5.5. Delivery cost, timing, and method depend on the selected carrier, delivery address, and characteristics of the Goods and are communicated to the Buyer before order placement is completed or when the order is confirmed.

5.6. The Buyer must inspect the integrity of the packaging, completeness, and external condition of the Goods upon receipt.

Rights and Obligations of the Parties

Returns and Withdrawal from the Agreement

7.1. The Buyer has the right to exchange or return Goods of proper quality within 14 days from receipt of the Goods unless another period is established by the Seller or by law.

7.2. A return or exchange is possible provided that the Goods have not been used and their marketable condition, consumer properties, labels, seals, and proof of purchase have been preserved.

7.3. Damage to packaging alone is not an unconditional reason to refuse a return if it did not affect the marketable condition, completeness, quality, or possibility of further sale of the Goods.

7.4. Funds for returned Goods are refunded within the period established by applicable Ukrainian law using the same payment method, unless otherwise agreed by the parties.

7.5. Return shipping costs are borne by the Buyer except where otherwise expressly provided by law or where the return is related to defects, an error in configuration, or another breach by the Seller.

7.6. Goods are not eligible for exchange or return in cases provided by applicable Ukrainian law, including Goods made to the Buyer’s individual order.

Individual and Personalized Orders

8.1. If the Goods are manufactured, assembled, engraved, personalized, or otherwise modified for a specific Buyer, such Goods are considered Goods made to an individual order.

8.2. The Buyer confirms all individual characteristics of such Goods before manufacturing or preparation for dispatch begins.

8.3. Individual orders are not eligible for exchange or return for reasons related to shape, design, color, configuration, or other agreed individual parameters unless mandatory legal provisions concerning Goods of improper quality require otherwise.

Personal Data

9.1. By placing an order, the Buyer provides the Seller with personal data necessary to accept, process, and fulfill the order, deliver the Goods, make settlements, and communicate with the Buyer.

9.2. Personal data is processed in accordance with the Law of Ukraine “On Personal Data Protection”.

9.3. The Buyer has the rights of a personal data subject provided by applicable Ukrainian law, including the right to know the purpose of processing, the right of access, and the right to request correction or deletion of data in cases provided by law.

9.4. Personal data may be transferred to third parties only to the extent necessary for order fulfillment, payment, delivery, accounting, or legal support, provided such transfer complies with the law.

Liability and Dispute Resolution

10.1. The parties are liable for non-performance or improper performance of this Agreement in accordance with applicable Ukrainian law.

10.2. The Seller is not liable for delays or inability to fulfill an order if caused by force majeure, carrier actions, incorrect information provided by the Buyer, or other circumstances beyond the Seller’s control.

10.3. All disputes between the parties are resolved through negotiations and, if no agreement is reached, according to the procedure established by applicable Ukrainian law.

The VSKLO online store operates in accordance with applicable Ukrainian law. By placing an order, the Buyer confirms that they have read the terms of the public offer and agree to the ordering, payment, delivery, and return rules.

Order Confirmation

After an order is placed, a VSKLO manager contacts the Buyer to clarify the details. The order is considered accepted for fulfillment after confirmation in an agreed form: by phone, email, messenger, or another agreed method.

For individual and personalized products, order parameters are agreed separately before manufacturing begins.
